Acceptance of the Terms of Use

These Terms of Use are entered into by and between you and Sourcewell (“Sourcewell,” “we,” or “us”). They govern your access to and use of Sourcewell’s digital assets, including websites, applications, and related online services (collectively, the “Digital Assets”).

 

Please read these Terms of Use carefully before accessing or using our Digital Assets. By accessing or using the Digital Assets, you agree to be bound by these Terms of Use and our Privacy Notice, which is incorporated by reference. If you do not agree to these Terms of Use or the Privacy Notice, you must not access or use our Digital Assets.

 

Our Digital Assets are intended for users who are 18 years of age or older. By using the Digital Assets, you represent and warrant that you are at least 18 years old and meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Digital Assets.

 

Changes to the Terms of Use

We may revise or update these Terms of Use at any time, in our sole discretion. Any changes are effective immediately upon posting and apply to all access to and use of the Digital Assets thereafter. Your continued use of the Digital Assets after revised Terms of Use are posted constitutes your acceptance of those changes.

 

Accessing our Digital Assets and account security

We reserve the right to withdraw, modify, or discontinue any portion of our Digital Assets, and any service or material provided through them, at any time and without notice. We will not be liable if all or any part of the Digital Assets is unavailable at any time or for any period. We may also restrict access to some or all parts of the Digital Assets, including access by registered users.

 

You are responsible for:

  • Making all arrangements necessary for you to access the Digital Assets.
  • Ensuring that anyone who accesses Digital Assets through your internet connection is aware of and complies with these Terms of Use.

 

Certain features of the Digital Assets may require you to provide registration information or other details. All information you provide must be accurate, current, and complete. Any information you submit is governed by our Privacy Notice, and you consent to our use of that information in accordance with the Privacy Notice.

 

If you are issued or choose a username, password, or other security credential, you must keep it confidential and must not share it with any other person or entity. Your account is personal to you, and you agree not to allow others to access the Digital Assets using your credentials. You must notify us immediately of any unauthorized access or use of your account or any breach of security. You are also responsible for logging out of your account at the end of each session, especially when using a shared or public computer.

We reserve the right to disable or terminate any username, password, or other identifier at any time, for any reason, including if we believe you have violated these Terms of Use.

 

Intellectual property rights

The Digital Assets and all their contents, features, and functionality including text, graphics, images, video, audio, software, and design are owned by Sourcewell or its licensors and are protected by U.S. and international intellectual property laws.

 

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from the Digital Assets except as permitted below:

  • Temporary storage in your computer’s memory is incidental to viewing the content.
  • Browser-cached files stored automatically to enhance display.
  • Printing or downloading a reasonable number of pages for your personal, non-commercial use.
  • Internal sharing within your organization when materials are clearly labeled for that purpose.
  • Use of social media features provided by Sourcewell, as enabled.

 

You must not:

  • Modify copies of any materials.
  • Use images, video, audio, or graphics separately from their accompanying text.
  • Remove or alter copyright, trademark, or other proprietary notices.

 

Any use of Digital Asset content not expressly permitted by these Terms of Use requires prior written permission from Sourcewell. No ownership rights are transferred to you, and all rights not expressly granted are reserved by Sourcewell.

 

Trademarks

The Sourcewell name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Sourcewell or its licensors. You may not use these marks without prior written permission. All other trademarks appearing on the Digital Assets belong to their respective owners.

 

Prohibited uses

You may use the Digital Assets only for lawful purposes and in compliance with these Terms of Use. You agree not to use Digital Assets to:

  • Violate any applicable law or regulation.
  • Exploit, harm, or attempt to harm minors.
  • Upload or transmit material that violates these Terms of Use.
  • Send unauthorized advertising, spam, or similar solicitations.
  • Impersonate Sourcewell, a Sourcewell employee, another user, or any other person or entity.
  • Engage in conduct that restricts or interferes with others’ use of the Digital Assets or exposes Sourcewell or users to harm or liability.
  • Disrupt or damage the Digital Assets or interfere with their proper operation.
  • Use automated tools such as robots or spiders to access or copy content.
  • Introduce viruses or other harmful code.
  • Attempt to gain unauthorized access to any part of the Digital Assets or related systems.

  • Launch denial-of-service or similar attacks.

     

User contributions

Digital Assets may include interactive features such as forums, profiles, or messaging tools. Any content you submit through these features must comply with these Terms of Use.

User contributions are treated as non-confidential and non-proprietary. By submitting User Contributions, you grant Sourcewell and its affiliates a perpetual, royalty-free license to use, reproduce, modify, display, and distribute such content for any lawful purpose.

You represent and warrant that you own or have the necessary rights to your User Contributions and that they comply with these Terms of Use. 

You are solely responsible for your User Contributions, including their legality and accuracy. Sourcewell is not responsible for content posted by users.

 

Monitoring and enforcement; termination

We reserve the right to:

  • Remove or refuse to post User Contributions.
  • Act against content that violates these Terms of Use or applicable law.
  • Disclose your identity to third parties claiming rights violations.
  • Cooperate with law enforcement.
  • Suspend or terminate your access to the Digital Assets.

We are not obligated to monitor content before it is posted and assume no liability for user-generated content.

 

Content standards

User Contributions must comply with all applicable laws and must not:

  • Contain defamatory, obscene, abusive, or hateful material.
  • Promote violence, discrimination, or illegal activity.
  • Infringe intellectual property or privacy rights.
  • Mislead others or impersonate another person or entity.

  • Include unauthorized commercial activities or advertising.

     

Reliance on information posted

Content provided through the Digital Assets is for general informational purposes only. Sourcewell does not guarantee its accuracy or completeness and disclaims liability for reliance on such information.

 

Changes to the Digital Assets

We may update the Digital Assets from time to time but are not obligated to keep content current.

 

Information about you and your visits

All information collected through the Digital Assets is governed by our Privacy Notice. By using the Digital Assets, you consent to our data practices as described therein.

 

Linking and social media features

You may link to the Digital Assets in a fair and lawful manner that does not imply endorsement. Social media features may be used only as provided. We reserve the right to revoke linking permission at any time.

 

Links from the Digital Assets

Links to third-party sites are provided for convenience only. Sourcewell is not responsible for third-party content or practices.

 

Geographic restrictions

The Digital Assets are intended for use by individuals located in the United States. Access from outside the United States is at your own risk.

 

Disclaimer of warranties

The Digital Assets are provided on an “as is” and “as available” basis. Sourcewell disclaims all warranties to the fullest extent permitted by law.

 

Limitation of liability

To the fullest extent permitted by law, Sourcewell will not be liable for any damages arising from your use of the Digital Assets.

 

Indemnification

You agree to indemnify and hold harmless Sourcewell and its affiliates from any claims arising out of your use of the Digital Assets or violation of these Terms of Use.

 

Governing law and jurisdiction

These Terms of Use are governed by the laws of the State of Minnesota. Any legal action must be brought in state or federal courts located in Minnesota.

 

Waiver and severability

No waiver by Sourcewell constitutes a waiver of any other provision. If any provision is found unenforceable, the remaining provisions will remain in effect.

 

Entire agreement

These Terms of Use and the Privacy Notice constitute the entire agreement between you and Sourcewell regarding the Digital Assets.
